Terms of Service

These Terms govern your use of this website and the services we provide. They are written to be read: the parts that matter most are no guarantee of approval, fees, refunds and our liability.

01About these Terms

This website, thediscreetinvestor.com, is operated by HYPER TARGET S.R.L., a limited liability company registered in Romania with the Trade Register under number J2026005185003, fiscal code (CUI) 53489278, with its registered office at Intrarea Reconstrucției nr. 6, Sector 3, Bucharest, Romania ("The Discreet Investor", "we", "us").

By using the website, sending us an enquiry or engaging us for a service, you agree to these Terms. If you do not agree, please do not use the website or our services.

When we take on your file we also send you a written engagement letter or service agreement. It describes your specific service, fee and timetable. If it says something different from these Terms, the engagement letter prevails for that service.

02Definitions

  • Services — everything we do for you: the free pre-screening, paid orientation sessions, information on programme and jurisdiction choice, file preparation and coordination for citizenship, residence, company formation and bank account opening, and any related work agreed in writing.
  • Client or you — the person or entity that uses the website or engages us. Where you act for a company or family, it includes the people you act for.
  • Authority — any government, citizenship or investment unit, immigration office, company registry, regulator or court that decides on an application.
  • Partner — an independent third party we work with to deliver the Services: licensed local agents, law firms, banks, developers, fund administrators, due diligence firms, translators, notaries and couriers.
  • Fees — our own professional fees. Third-party costs — investments, contributions, government, due diligence, processing, passport, registry, notary, translation and bank charges, and any other amount payable to someone other than us.
  • Engagement letter — the written agreement or accepted proposal for your specific Services.

03Who can use our services

To engage us you must:

  • be at least 18 years old and legally able to enter into a binding contract;
  • have authority to bind any company or person you act for — if you do not, you are personally responsible for the obligations you take on;
  • not be the subject of international sanctions, and not act for anyone who is;
  • use funds of lawful origin that you can document.

We may decline any engagement without giving reasons, in particular where our due diligence or a Partner's policy does not allow it.

04Our services

We help internationally mobile families, founders and investors plan and assemble their structure: second citizenship, residence permits, company formation and the bank accounts behind them. We compare options, prepare and check your file, coordinate the Partners and Authorities involved, and keep you informed until the outcome.

Applications are filed through licensed agents and official Partner channels, which we name in writing. Where a programme or jurisdiction requires a licensed local agent, that agent submits the application; we prepare and coordinate the file.

Our first step, the pre-screening, is free and confidential. It tells you which options fit your profile before you pay anything to us, a government or a bank. It is an initial view based on the information you give us, not a guarantee of eligibility.

We perform the Services with the skill and care of a diligent professional adviser. Our commitment is to diligent effort, not to a particular result.

05No guarantee of approval

Every application is decided by someone else. Citizenship and residence are granted by the relevant Authority; companies are registered by the registry; bank accounts are opened at the sole discretion of the bank. We cannot promise or guarantee approval, and no one at The Discreet Investor is authorised to do so.

In particular:

  • Authorities and banks can refuse an application without giving reasons, request further documents or interviews, or ask for enhanced due diligence.
  • Processing times on our website and in our proposals are typical ranges, not deadlines. Delays caused by Authorities, Partners or document issuing bodies are outside our control.
  • Governments change programme rules, investment amounts, fees, family definitions and visa-free agreements, sometimes without notice and sometimes with immediate effect. We will tell you promptly when a change affects your file, but we are not responsible for the change itself.
  • Visa-free access, tax treatment and other benefits of a passport or residence permit depend on other countries' decisions and your personal circumstances, and can change after you obtain them.

06Your obligations

The quality of your application depends on the information you give us. You agree to:

  • provide complete, accurate and genuine information and documents, for yourself and every family member on the file;
  • tell us, before we file, about any criminal record or investigation, previous visa or citizenship refusals, political exposure (PEP status), sanctions or adverse media concerning you or your family;
  • respond to requests from us, Partners and Authorities without undue delay and attend any required interview, biometrics appointment or oath;
  • tell us immediately about any change in your circumstances during the process — marriage, divorce, a new child, a change of address, nationality or source of funds;
  • pay Fees and Third-party costs on time.

False, forged or misleading information is a material breach of these Terms. It usually leads to refusal and can lead to a permanent ban by the Authority. In that case we may end the engagement immediately and Fees are not refunded.

07Identity checks, anti-money laundering and sanctions

We are required to know who our clients are. Before and during the engagement we verify your identity and, where relevant, that of your company's owners and controllers (KYC/KYB), and we assess your source of funds and source of wealth. Partners and Authorities run their own, independent checks.

We may refuse to act, pause the work or end the engagement if we cannot complete these checks to our satisfaction, if we suspect a breach of anti-money-laundering or sanctions law, or if continuing would expose us or a Partner to legal or reputational risk. Where the law requires it, we report suspicions to the competent authorities and may be prohibited from telling you that we have done so.

08Partners and third parties

Partners are independent businesses, not our employees or agents. They act under their own licences, professional rules and terms, which also apply to you. We choose Partners carefully and coordinate their work, but we are not responsible for their acts or omissions, for their decisions or for their solvency.

Where we describe ourselves as an official partner of a bank or programme, it means that we have an established, recognised channel to submit and follow up files. It does not give us any power over the Partner's decision.

09Bank account opening

For bank account services we prepare your application, submit it through the bank's partner channel and support you through the bank's onboarding. We make reasonable efforts to have the account opened; the decision is the bank's alone, and banks do not always explain a refusal.

If the bank declines your application, we will — where your profile allows it — propose a suitable alternative bank on the terms set out in your engagement letter. Once an account is open, your relationship is directly with the bank and is governed by the bank's own terms, tariffs and compliance requirements. We do not hold, control or have access to your account.

10Not legal, tax or investment advice

We explain how programmes, jurisdictions and banks work and help you compare them. Unless a qualified lawyer or tax adviser is engaged in writing for that purpose, this is not legal, tax or investment advice tailored to your personal situation.

A second citizenship, a new residence or a company abroad can change your tax position, your reporting obligations and your rights in your home country. You are responsible for obtaining independent legal and tax advice in the countries where you live, are a citizen or hold assets. We are happy to introduce specialists on request.

11Investments and client money

Qualifying investments and government contributions are paid directly to the government, the approved developer, the fund or an escrow agent designated by the programme — and, where the programme allows it, only after approval in principle. We do not receive or hold your investment funds unless your engagement letter expressly says otherwise.

Any real estate, fund, bond, deposit or business investment carries its own risks, including loss of value, illiquidity, currency movements and the developer's or issuer's ability to perform. Resale and redemption after the holding period are not guaranteed. The information on our website about returns and exit periods is general and indicative.

12Fees and payment

Our Fees are published on the relevant programme, company and bank pages and confirmed in your engagement letter. Unless stated otherwise:

  • Fees are in the currency shown and exclude VAT or other taxes, which are added where applicable;
  • Third-party costs are not included in our Fees and are payable in addition, either to us for onward payment or directly to the third party;
  • invoices are payable within 7 days, and work on a stage may start only once the invoice for that stage is paid;
  • bank charges and currency conversion costs on your payments are borne by you.

Paid orientation sessions. You can book a one-to-one video orientation session through our orientation session page. The following applies:

  • the session lasts up to 60 minutes and costs €199, paid by card when you book; the slot is confirmed once the payment is received;
  • bookings and payments are processed by our providers Cal.com and Stripe under their own terms; we do not receive your full card details;
  • you may reschedule up to 24 hours before the start time, using the link in your confirmation email. A later change, or not attending, counts as a session held;
  • the fee is not refundable if you cancel or do not attend, except where mandatory consumer law gives you a right to a refund;
  • if you sign an engagement letter with us within 30 days of the date of the session, the fee is credited in full against our Fees for that engagement. The credit applies once, is not paid out in cash and cannot be transferred to another person;
  • sessions are held in English or Romanian.

Nature of the orientation session. The orientation session is a general information service. In it we describe how citizenship and residence programmes, jurisdictions, banks and their procedures generally work, share our practical experience of timelines, costs and documents, and indicate which routes may be worth examining, based on the information you give us. The session and any written recap of it:

  • are not legal, tax, accounting, financial or investment advice and are not an opinion on your personal legal or tax position;
  • do not create a lawyer–client, tax adviser–client or other advisory relationship, and no service is owed beyond the session itself until an engagement letter is signed;
  • do not guarantee that any government, bank or other third party will accept your application;
  • must not be relied on as the basis for a decision without independent advice from a licensed lawyer or tax adviser in each country concerned. We can introduce such advisers on request.

When you book, you confirm that you have read and accept this scope. Section 10 applies in full to orientation sessions, and the binding terms of any service are those in the engagement letter.

Right of withdrawal for consumers. If you book as a consumer in the European Union, you normally have 14 days from booking to withdraw from a service contract. By booking an orientation session that takes place within those 14 days, you expressly ask us to provide it during the withdrawal period, and you acknowledge that you lose the right of withdrawal once the session has been fully provided. If you withdraw within the 14 days and before the session has taken place, we refund the fee as the law requires.

Cost calculators and estimates on the website are indicative and based on published fee schedules at the date shown. The binding figures are those in your engagement letter and in the Authorities' and Partners' own invoices.

13Refunds

The pre-screening is free, so you never pay for finding out whether an option suits you. After that:

  • if you cancel before we have started work on your file, we refund our Fees in full;
  • once work has started — document review, preparation or submission — Fees for the stages already started are not refundable, because the work has been done;
  • a refusal by an Authority or a bank does not by itself entitle you to a refund of our Fees, unless your engagement letter provides otherwise;
  • orientation session fees follow the rules on paid orientation sessions in section 12: they are not refundable on cancellation or non-attendance, except where mandatory consumer law gives you a right to a refund;
  • Third-party costs follow the third party's own rules: due diligence and processing fees, for example, are generally non-refundable, while some programmes return part of the investment or contribution on refusal. We will help you claim any refund you are entitled to.

Refunds are paid to the account the payment came from within 30 days of being agreed. Nothing in this section affects rights you have as a consumer under mandatory law.

14Confidentiality

Discretion is in our name. We keep your information and documents confidential and share them only with the Partners and Authorities your file requires, and with our professional advisers, insurers and auditors under a duty of confidence.

We may disclose information where the law, a court or a regulator requires it, or to protect our legal rights. These obligations continue after the engagement ends. You agree to keep confidential any non-public information about our pricing arrangements with Partners.

15Personal data

We process personal data about you and your family to deliver the Services and meet our legal obligations. How we do so, who receives it and your rights are explained in our Privacy Policy and Cookie Policy, which form part of these Terms.

16Using the website

You may use the website for your own information and to contact us. You must not:

  • use it for any unlawful, fraudulent or harmful purpose, or to send unsolicited messages;
  • attempt to gain unauthorised access to the website, its servers or connected systems, or interfere with their operation;
  • introduce viruses or other malicious code;
  • copy, scrape or harvest content or data by automated means, or reproduce our content, prices or tools on another site, without our written consent.

We work to keep the website accurate, available and secure, but we do not guarantee that it will always be uninterrupted, error-free or up to date. Each page shows the date it was last updated. The website does not constitute an offer of services in any country where such an offer would be unlawful.

17Intellectual property

The website and its content — text, comparisons, calculators, design, logos and the name "The Discreet Investor" — belong to us or our licensors and are protected by intellectual property law. You may view, print and share pages for personal, non-commercial use, provided you do not alter them and keep our attribution.

Documents we prepare for your file may be used by you for that file. We keep the rights in our templates, methods and know-how.

18Links to other websites

The website links to government, bank and other third-party sites for your convenience. We do not control them and are not responsible for their content, availability or privacy practices. A link is not an endorsement.

19Limitation of liability

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be limited under applicable law.

Subject to that:

  • our total liability to you arising from or in connection with a Service, whether in contract, tort (including negligence) or otherwise, is limited to the Fees you paid us for that Service;
  • we are not liable for loss of profit, business, opportunity or investment value, or for any indirect or consequential loss;
  • we are not liable for decisions, delays or rule changes of Authorities, for acts or omissions of Partners, or for loss caused by incomplete, inaccurate or late information from you;
  • we are not liable for decisions you make based on general information on the website without engaging us.

Any claim must be notified to us in writing within one year of the date you became aware of the facts giving rise to it.

20Indemnity

You agree to compensate us for losses, costs (including reasonable legal fees) and claims we suffer because of false or misleading information you gave us, your breach of these Terms or your breach of the law.

21Suspension and termination

You may end an engagement at any time by writing to us; the Refunds section then applies. We may suspend or end an engagement, with immediate effect, if you materially breach these Terms, do not pay an invoice within 30 days of its due date, fail our due diligence, become subject to sanctions, or if continuing would be unlawful. Otherwise we may end an engagement on 30 days' written notice.

Ending an engagement does not affect rights and obligations already accrued. The sections on fees, refunds, confidentiality, limitation of liability, indemnity and governing law continue to apply.

22Events beyond our control

We are not in breach of these Terms if we are delayed or prevented from performing by events beyond our reasonable control — including natural disasters, epidemics, war, sanctions, government action, suspension of a programme, strikes, or failures of Authorities, banks, telecommunications or postal services. We will tell you promptly and resume as soon as we can. If the event lasts more than 60 days, either of us may end the affected engagement by written notice.

23Complaints

If something has gone wrong, tell us — most issues are resolved quickly once we know. Write to office@thediscreetinvestor.com or message us on WhatsApp (+44 7365 874434) with your name, file reference and a description of the problem. We acknowledge complaints within 2 business days and aim to give a full answer within 14 days.

24Governing law and disputes

These Terms and any dispute arising from them are governed by the laws of Romania. The courts of Bucharest, Romania, have exclusive jurisdiction, except that if you are a consumer you may also bring proceedings in the courts of the country where you live, and you keep the protection of the mandatory consumer law of that country.

Before going to court, we both agree to try in good faith to settle the dispute through negotiation for at least 30 days.

25Communications and language

We communicate primarily by email, and an email from you or us counts as "in writing" under these Terms. Messages through messaging apps or social media are for convenience and do not replace written instructions for decisions that affect your file.

These Terms are written in English. If we provide a translation, the English version prevails.

26General

These Terms, together with your engagement letter and the policies referred to in them, are the entire agreement between us about their subject. If any provision is found invalid, the rest remains in force and the invalid provision is replaced by a valid one as close as possible to its purpose. A failure or delay in enforcing a right is not a waiver of it. You may not transfer your rights under these Terms without our consent; we may transfer ours to a successor business, provided your rights are not reduced.

27Changes to these Terms

We may update these Terms to reflect changes in the law, the programmes or our services. The version in force is always the one on this page, with its "last updated" date. Changes do not affect engagements already signed unless you agree, or unless the change is required by law.
