Incorporation in Scotland
Getting started
Duration +
A Scottish Limited Partnership typically forms in 1–3 working days, entirely remotely — among the fastest onshore-flavoured setups anywhere.
Procedure +
The path from first call to live partnership, in order:
1. Initial consultation and engagement — 2. Settlement of the invoice — 3. For remote setups, notarisation of the power of attorney on your side — 4. We prepare the registration documents — 5. Signing before the notary — 6. The partnership is valid on the register immediately.
Remote incorporation +
No travel to Edinburgh required — the entire formation runs on a power of attorney. We draft the POA for your chosen services; you have it notarised (apostilled where your country demands full legalisation — Scotland, as part of the UK, is a Hague Convention member); we verify it; you courier us the physical original; we handle the rest.
Required information +
Three things get the file moving: three name options for the partnership plus a contact email; the names, addresses and emails of all partners; and a short description of the activity. That's the whole intake form.
Documents +
Passport scans of every individual involved, including the beneficial owner; the power of attorney for remote registration; and certified corporate documents where a partner is itself a foreign company.

Alternatives to a Scottish LP
Facts about Scotland
Know before you register
Taxes +
The Scottish LP is a flow-through structure: the partnership itself pays no corporate tax. Profits are attributed to the partners, and UK income tax (HMRC) reaches them only where a partner is UK-resident or the profits arise inside the UK.
The practical consequence: foreign partners earning foreign profits through a Scottish LP pay nothing in the UK. A British-registered structure with an offshore tax result — that's the entire trick, and it's fully legal.
Double tax treaties +
As part of the United Kingdom, Scotland sits behind one of the largest tax-treaty networks on earth — well over a hundred bilateral conventions, covering the US, China, Germany, France, Japan, Australia, the UAE, Singapore, Switzerland, Canada and virtually every economy that matters, plus Romania and the rest of the EU.
Whether a treaty helps a flow-through entity depends on the partners' residence — a nuance worth five minutes on the free call rather than a wrong assumption.
Accounting & audit +
An LP operating outside Scotland files no accounts and no audits.
The exception: if the partnership does business in Scotland and its general partner is a Scottish limited company, it must produce a balance sheet, a profit and loss account, and the partners' and auditor's reports. Structure it right from day one and the exception never touches you.
Substance & residency +
No residency requirements, 100% foreign ownership allowed. The only footprint the law demands is a "principal place of business" in Scotland — in practice, a registered address, which we provide and maintain. We're on the ground for everything the partnership needs locally.
FAQ
About Scottish LP registration
What makes a Scottish LP different from an Irish or English LP? +
One decisive feature: the Scottish LP has its own legal personality. It can sign contracts and own assets in its own name — something no English or Irish limited partnership can do. For holding structures, that difference is the whole ballgame.
Will my name appear on the Scottish partnerships register? +
Only if you want it to. Through a mandate, a nominee partner holds your position on the public record while a contract gives you every right and all control. Another name appears; you run the structure.
What's a good alternative to a Scottish LP? +
Depends on the objective: Canada LP for the same flow-through logic with a North American address, GB LLP if you want limited liability for every member, Ireland LP for the cheapest entry. One call and we'll tell you which fits your business model — including if the answer isn't Scotland.
What's the difference between an LLC and a Limited Partnership? +
An LLC is a company — a taxable legal entity in its own right. An LP is a flow-through of at least one general partner and one limited partner, where profits pass straight to the partners. The trade-off: the general partner carries liability for the partnership's debts and obligations — which is why the general partner is usually itself a limited company. We build exactly that.
