The full legal package to form your partnership — or a ready-made Irish LP on request, for those who need a standing entity today.
Incorporation of an LP in Ireland
Getting started
Procedure +
The path from first call to live partnership, in order:
1. Initial consultation and engagement — 2. Settlement of the invoice — 3. For remote setups, notarisation of the power of attorney on your side — 4. We prepare the registration documents — 5. Signing before the notary — 6. The partnership is valid on the register immediately.
Duration +
5–10 working days stands the partnership up, start to finish — and the whole run happens remotely, with no trip to Dublin on the calendar.
Remote incorporation +
Fully remote on a notarised power of attorney: we draft it for your chosen services, you certify it (apostilled where your country demands full legalisation), we verify, and you courier us the physical original. Ireland is a Hague Apostille Convention member — one stamp, recognised worldwide.
Required information +
The intake list: three name options plus a contact email; names, addresses and emails of all partners; a short activity description with a business plan; and the structural minimum — two partners, one general and one limited, either of which we can provide. Say up front if you want a nominee general or limited partner and we build it in from day one.
Documents +
Passport scans of every individual involved, including the beneficial owner; the power of attorney for remote registration; and certified corporate documents where a partner is itself a foreign company.

Facts about Irish LPs
Know before you register
Taxes +
The LP is a flow-through structure — the partnership itself owes no corporate tax. Tax lands on the partners, and only when Irish Revenue has a claim: partners resident in Ireland, or profits generated on Irish soil. Run the business abroad with foreign partners and the arithmetic closes at zero — Ireland taxes neither the vehicle nor the foreign income passing through it.
Double tax treaties +
Ireland brings one of Europe's broadest treaty networks — over seventy conventions spanning the US, UK, Germany, France, and nearly all of the EU with Romania included, plus China, Japan, Singapore, Hong Kong, Canada, Australia and the Gulf states. Whether a flow-through LP can claim treaty relief depends on the partners' own residence — a nuance worth five minutes on the free call.
Accounting & audit +
Partnerships operating outside Ireland file nothing — no accounting, no audit. The obligation switches on only for business done inside Ireland where the general partner is an Irish limited company: then a balance sheet, a profit-and-loss account, and partners' and auditor's reports are due. For the classic international setup, the drawer stays empty.
Substance & residency +
No residency requirements, 100% foreign ownership, and no physical office needed in Ireland. One honest caveat the brochures skip: a non-EEA, non-Swiss national who intends to come to Ireland in person to run the business as general partner needs permission from the Minister for Justice — a rule about relocating, not about owning. Structured remotely, it never arises; we're on the ground for everything the partnership needs locally.
FAQ
About Irish LP registration
What are the advantages of an Irish LP? +
It's the structure of choice for venture capital, hedge funds, family planning vehicles and foreign companies: untaxed on business conducted outside Ireland, which makes it behave like an offshore entity — while carrying an EEA and Eurozone registration that no Caribbean flag can match.
Will my name appear on the Irish register? +
Only if you want it to. Through a mandate, a nominee partner holds the position on paper while every right stays contractually yours — another name on the register, your hands on the structure.
What is a good alternative to an Irish LP? +
Depends on the objective: Scotland LP for speed and legal personality, Canada LP for another prestigious zero-filing flag, Panama for pure offshore economics. One call and we'll shortlist it for your business model — including if the answer isn't Ireland.
What's the difference between an LLC and an LP in Ireland? +
The LLC is a company — a legal entity in its own right. The LP is a flow-through built from at least one general partner and one limited partner, with the general partners carrying liability for the firm's debts and obligations. Different tools; the free call establishes which one your project needs.
